Terms of Use — Hey Oscar

1. Acceptance of Terms

These Terms of Use (the "Terms") govern your access to and use of the Oscar application — available as a mobile app and as a web version at heyoscar.ca (collectively, the "Application") — provided by Hey Oscar Inc. ("Oscar," "we," "our").

By downloading, accessing, or using the Application, you agree to be bound by these Terms. If you do not accept these Terms, do not use the Application.

2. Description of Service

Oscar is an entertainment companion that recommends films and TV series based on your mood and preferences. Recommendations are provided for informational and entertainment purposes only. Oscar does not stream video content and is not affiliated with any viewing platform; it may indicate where a title is available as a reference only.

Some features are offered free of charge and may be accompanied by advertising (see section 11); others require the paid Oscar+ subscription (see section 15).

3. Eligibility

You must be at least 14 years old to create an account and use the Application independently. Your date of birth is requested when creating an account to verify this requirement; registration is refused if it is not met. By using the Application, you confirm that the information you provide is accurate.

Children under 14 may not create their own accounts; they may only have a profile created and managed by a parent or guardian within that person's account (see the Family Profiles section). The parent or guardian remains responsible for the minor's use of the Application and consents to the processing of the child's profile information.

4. User Account

To access certain features, you must create an account (including via Apple or Google). You are responsible for:

the accuracy of the information you provide;
the confidentiality of your login credentials;
all activity carried out under your account.

You must notify us immediately of any unauthorized use of your account.

5. Family Profiles and Minors

The Application allows you to create family profiles so that each household member receives recommendations tailored to their profile. The following rules apply:

The account holder is responsible for their account and all profiles attached to it.
A profile for a child under 14 may only be created by a parent or guardian, within their own account. The child does not create a separate account.
By creating a child's profile, the parent or guardian confirms parental authority and consents, on behalf of the child, to the use of the Application and to the processing of the child's profile information in accordance with the Privacy Policy.
The parent or guardian is responsible for supervising the minor's use of the Application and may modify or delete the child's profile at any time.

We reserve the right to suspend or delete any profile created in violation of these rules.

6. Licence

Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, and revocable licence to use the Application for personal, non-commercial purposes.

7. Acceptable Use

You agree not to:

use the Application for illegal or unauthorized purposes;
attempt to access, copy, or extract the Application's code, data, or infrastructure (reverse engineering, scraping, etc.);
disrupt or compromise the security or proper functioning of the Application;
circumvent usage limits of any API or integrated third-party services;
use the Oscar Chat feature for abusive, illegal, or harmful purposes.

8. User Content and Community

The Application includes social features (community feed, comments, reactions, viewable profiles). Content you post there ("User Content") remains yours and is your responsibility.

Licence. By posting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, reproduce, and display it within the Application, solely for the purpose of operating the service. This licence ends when you delete the content or your account, subject to temporary backup copies.

Content rules. It is prohibited to post content that is: illegal, hateful, discriminatory, threatening, or harassing; sexually explicit; that discloses another person's personal information without their consent; that infringes copyright or other rights; that is misleading, fraudulent, or spam; or that is intended to harm minors.

Moderation. We may remove any User Content that violates these Terms, without notice, and suspend the offending account. You can report content or block a user through the features provided in the Application, or by writing to us (section 23). We handle reports diligently.

9. Intellectual Property

The Application, its name, its character "Oscar," its interface, design, and original content are the property of Oscar or its licensors and are protected by intellectual property laws. No rights are granted to you beyond the licence set out in Section 6.

10. Third-Party Content and Data

10.1 The Movie Database (TMDB)

Film and series data (titles, posters, synopses, ratings, availability) is sourced from The Movie Database (TMDB).

This product uses the TMDB API but is not endorsed or certified by TMDB.

10.2 Additional Data Sources

Additional scores come from OMDB (IMDB, Rotten Tomatoes, and Metacritic ratings) and Trakt.tv (community ratings and trends). Streaming links and available languages may come from JustWatch. This data is provided as is and may be inaccurate or out of date; the trademarks mentioned belong to their respective owners, who do not endorse Oscar.

10.3 Streaming Platforms and Trailers

Availability information (streaming platforms) is provided for reference only and may be inaccurate or out of date. Oscar is not responsible for the content, terms, or availability of third-party services. Trailers are played through the embedded YouTube player; playback is subject to YouTube's Terms of Service and Google's Privacy Policy.

10.4 Oscar Chat (Conversational Companion)

Oscar Chat lets you interact with the Oscar companion. Its responses are generated using the Claude artificial intelligence model, provided by Anthropic (see the Privacy Policy, section 8). Responses are provided for entertainment purposes, may be imperfect, incomplete, or inaccurate, and do not under any circumstances constitute professional advice (medical, psychological, legal, financial, or otherwise). Do not share sensitive information in it.

10.5 Icons and Visual Elements

Some icons used in the Application's interface are from the open-source OpenMoji project (openmoji.org), distributed under the Creative Commons CC BY-SA 4.0 license.

11. Advertising

Accounts not subscribed to Oscar+ may be shown advertising (banners, videos, native ads labelled "Sponsored," or rewarded ads), served by Google AdMob. Oscar+ subscribers see no advertising. No advertising is shown on child profiles, in accordance with Quebec's Consumer Protection Act. Oscar does not endorse advertised products or services and is not a party to transactions between you and advertisers.

12. Gamification and Virtual Items

The Application includes gamification elements: experience points (XP), levels, quests, badges, streaks, and friend leaderboards. These virtual items have no monetary value, are neither exchangeable nor refundable, and do not constitute property or a vested right. We may modify, rebalance, or reset them to ensure the proper operation of the service, without this constituting a breach of these Terms.

13. Disclaimer of Warranties

The Application is provided "as is" and "as available," without warranty of any kind, express or implied, to the extent permitted by law. We do not guarantee that recommendations will be accurate, relevant, complete, or uninterrupted, or that the Application will be error-free. Recommendations are subjective and provided for entertainment purposes. This section does not exclude the mandatory legal warranties provided by Quebec's Consumer Protection Act.

14. Service Availability

We may modify, suspend, or discontinue the Application or any of its features, in whole or in part, at any time and without notice, including to improve functionality, ensure security, perform maintenance, or add or remove features. We do not guarantee uninterrupted, timely, or error-free access to the Application.

15. Oscar+ Subscription

Some Application features are offered for free, while others require a paid subscription ("Oscar+").

Billing: Oscar+ subscriptions are sold and billed through Apple's App Store or Google Play, depending on your device. Payment is charged to the account associated with your Apple ID or Google account at the time of purchase.
Auto-renewal: Unless otherwise indicated, the subscription automatically renews at the end of each period at the then-current rate, unless cancelled at least 24 hours before the end of the current period.
Management and cancellation: You may manage or cancel your subscription at any time in your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period.
Free trial: If a free trial is offered and you subsequently subscribe to a paid plan, any unused portion of the trial is forfeited.
Price changes: We may modify Oscar+ pricing. For an active subscription, any change will be communicated to you in writing at least 30 days before it takes effect, indicating the new price and its effective date; you may refuse the change by cancelling your subscription, free of charge and without penalty, before that date, in accordance with Quebec's Consumer Protection Act.
Refunds: Refunds are governed by the policies of Apple's App Store or Google Play, as well as applicable law, including Quebec's Consumer Protection Act.

16. App Stores (Apple and Google)

These Terms are between you and Oscar, not with Apple Inc. or Google LLC. You acknowledge that:

Apple and Google have no maintenance or support obligations with respect to the Application;
Apple and Google are not responsible for claims relating to the Application (warranty, legal compliance, intellectual property), which are Oscar's responsibility to the extent provided in these Terms;
your use of the Application must comply with the applicable App Store or Google Play terms of service;
Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you with respect to the iOS version of the Application.

17. Limitation of Liability

To the extent permitted by applicable law, Oscar and its co-founders shall not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Application. Nothing in these Terms limits any rights you may have under applicable consumer protection laws, including Quebec's Consumer Protection Act, which prevail in the event of any inconsistency.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Oscar harmless from any claims, losses, or expenses arising from your violation of these Terms or your illegal use of the Application. This clause does not apply to the extent it would be prohibited by Quebec's Consumer Protection Act.

19. Suspension and Termination

We may suspend or terminate your access to the Application, without notice, in the event of a breach of these Terms. You may stop using the Application and delete your account at any time.

If we terminate your access without any breach on your part and you hold an active Oscar+ subscription, the unused portion of your subscription will be refunded to you on a pro-rata basis, through the applicable billing platform.

20. Modifications

We may modify these Terms from time to time. Any material change will be communicated to you within the Application or by email at least 30 days before it takes effect, with a reference to the modified text. If you refuse a change, you may stop using the Application and delete your account before it takes effect. Your continued use of the Application after the changes take effect constitutes your acceptance of the revised Terms.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Quebec and the applicable laws of Canada. Any dispute shall be subject to the exclusive jurisdiction of the courts of the judicial district of Montreal, subject to any mandatory consumer rights under applicable law.

22. General Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Oscar regarding the Application.
Assignment: You may not assign your rights under these Terms. We may assign them in connection with a reorganization, merger, or sale of assets, with notice.
No waiver: Failure to exercise a right under these Terms does not constitute a waiver of that right.
Language: These Terms are drawn up in French. This English version is provided for convenience; in the event of any discrepancy, the French version prevails.
